Corporate law is the study of how shareholders, directors, employees, consumers and the business community interact with each other. Also, corporate law defines the internal rules of the company. The object of the course is to provide conceptual understanding and a working knowledge of the provisions of Companies Act, 2013 and Securities laws of India. The corporate securities markets comprise the most vibrant sector of the financial industry. Significant reforms have taken place in both trading and post trade infrastructure and even the business conventionally handled within the commercial banking and insurance sectors is making inspired use of ordered capital market techniques. The course is intended to provide a broad overview of the main aspects of the subject. The course is structured around the ‘life-cycle’ of registered companies from pre-incorporation to dissolution. The course will dive into relevant debates on corporate governance with an emphasis on directors’ duties and the rights and remedies of members; corporate finance and external administration. The course also considers the context in which companies operate, their role in society and the implications of the concept of corporate personality.
